Terms and Conditions

1. Introduction

These Terms and Conditions of Use (the "Terms") are a binding contract between you and Healthcare Strong, LLC, a Delaware limited liability company, with a registered address at 555 Anton Blvd Suite 150, Costa Mesa, CA 92626 ("HCS," "we," "us," or "our").

These Terms set out your rights and responsibilities when you use our websites (for example, healthxstrong.com), our mobile apps including the Healthcare Strong App, and all other services provided by Healthcare Strong — including the Healthcare Strong Academy and 1:1 Health Coaching with Nurse Georgie (collectively, our "Services"). The Services are made available solely for your personal, noncommercial use. By accessing or using any of our Services (including browsing our website), you are agreeing to these Terms. If you do not agree to these Terms, you should not use or access the Services.

As provided in greater detail in these Terms, you acknowledge and agree to the following:

  • These Terms contain an arbitration clause and class action waiver. Disputes arising between you and Healthcare Strong will be resolved by binding arbitration. By accepting these Terms, you are waiving the right to a trial by jury or to participate in a class action.

  • Our Privacy Policy is expressly incorporated into these Terms, and by using our Services you agree that Healthcare Strong can process your information in the ways set out in the Privacy Policy.

  • All rules and terms applicable to the use of the Healthcare Strong Community not directly captured here are incorporated by reference.

  • You consent to the automatic renewal of your Subscription (defined below) until you cancel your Subscription through the Platform.

  • Your use of the Services may be conditioned on your acceptance of third-party terms of service. Healthcare Strong is not responsible or liable for third-party materials included within or linked to the Services.

  • Your use of the Services is at your sole risk. You should consult with a physician or other healthcare professional before commencing physical or wellness activities through the Services.

1.1 Changes to These Terms

We are constantly improving our Services and may introduce new features, make changes to existing features, or suspend or discontinue certain features, so these Terms may need to change from time to time. We reserve the right to change the Terms as required. We will inform you of any material changes. Any use or access of the Services after the effective date of the change constitutes your acceptance of such revised Terms. If you find any change to these Terms or the Services unacceptable, your sole remedy is to stop using or accessing the Services.

2. The Services

Healthcare Strong offers the following services:

Healthcare Strong App

A mobile and web-based fitness and wellness platform providing access to workouts, nutrition guidance, progress tracking, wellness resources, community features, and content delivered by Healthcare Strong and select Third-Party Providers.

1:1 Health Coaching

A personalized coaching program for nurses and women in healthcare. Includes a custom fitness and wellness plan, nutrition guidance, weekly check-ins, and direct coaching support. Program length and investment are determined during your discovery call.

Healthcare Strong Academy

A 12-week business coaching program for nurses and women in healthcare who want to build an online health coaching business. Includes step-by-step modules, weekly live coaching calls, community forum access, social media toolkits, and done-for-you templates. Upon completing the 12-week Academy program, members have the option to continue with a monthly membership at $49/month, which includes ongoing access to the community forum and continued resources. If payment is not received, the monthly membership will not renew and access to the community will be removed immediately.

Free Weekly Masterclass

A live educational event held every Wednesday night. Free to attend with registration. No purchase necessary.

The Services are made available through the Healthcare Strong Platform which includes our website, mobile app, and any related digital tools or communities. Access to Third-Party Providers and/or their services is subject to change at any time without notice.

2.1 Registration and Enrollment

To access the full offerings of the Healthcare Strong Platform, you will be required to register for a Healthcare Strong account by creating a unique username and password. You may then review the available plans and enroll accordingly.

When you open an account or provide your information to us, you agree that HCS may contact you via email, direct mail, telephone, messaging app, or text message using automated technology to the data provided, even if the phone number is present on a state or national Do Not Call list. You may opt out of marketing emails or communications by following the unsubscribe link or other directions provided in the communication, or by contacting us through the Help Center in the app or on our website.

2.2 Text Message Communications

By submitting any application or registration form through our website or platform, you consent to receive SMS text messages from Healthcare Strong, LLC or our team. Messages may include application updates, program information, coaching communications, and promotional content. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out.

2.3 Age Restrictions and Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to register for a Healthcare Strong account and become a Healthcare Strong Member.

2.4 Service Limitations or Modifications

While HCS will make reasonable efforts to keep the Services operational, temporary service interruptions may occur due to technical difficulties, maintenance requirements, or legal updates. HCS reserves the right to modify or discontinue any function or feature of Healthcare Strong Services at any time. HCS will make reasonable efforts to provide advance notice of any material interruption, discontinuation, or modification in Services.

2.5 Accuracy of Information

You are solely responsible for any activity on your Healthcare Strong account. You are responsible for providing accurate and complete registration and enrollment data, and for updating it as necessary. HCS reserves the right to validate the data you provide at any time. You may not transfer, sell, or rent your username or account to any other person or organization. In the event that HCS determines that any data you provided is incorrect or that you have otherwise violated these Terms, HCS reserves the right to suspend or terminate your account without compensation or reimbursement.

3. Subscriptions, Fees, and Billing

3.1 Subscription

You may access our Platform and create a Healthcare Strong account without charge. To make use of the full offerings of the Healthcare Strong Platform, you may select and enroll in a subscription plan. Service offerings may vary based on the Subscription you select. HCS reserves the right to add and remove Content from particular Subscription Plans at any time in our sole discretion without prior notice.

3.2 Program Fees

Fees for 1:1 Health Coaching and Healthcare Strong Academy are discussed and confirmed during your discovery call prior to enrollment. All fees are due as agreed upon at the time of enrollment.

The Healthcare Strong Academy monthly continuation membership is $49/month following completion of the 12-week program, billed automatically until cancelled. HCS may change the price for any Subscription Plan from time to time and will communicate any price increases in advance.

3.3 No Refund Policy

All sales are final. Healthcare Strong, LLC does not offer refunds for any program, coaching package, subscription, or service once payment has been made. The Healthcare Strong Subscription Fee is non-refundable except as required under applicable law. By completing your purchase you acknowledge and agree to this no refund policy. If you have questions about a program before enrolling, please contact us at contact@healthxstrong.com prior to purchasing.

3.4 Community Access

Access to the Healthcare Strong Academy forum is included with active program enrollment and the $49/month continuation membership. If payment is not received or your membership lapses, access to the community will be removed immediately. Healthcare Strong is not liable for any loss of content or connections resulting from loss of community access due to non-payment.

3.5 Free Trial or Promotion

We sometimes offer trials or other promotions, which are subject to these Terms except as otherwise stated in the promotional offer. By providing your payment details when enrolling in a free trial, you agree that Healthcare Strong may charge the Subscription Fee to your designated payment method upon conclusion of the free trial period unless you cancel 48 hours before the end of the trial period.

3.6 Billing

You will be billed through credit card or any payment method listed in the Healthcare Strong Platform. We use Stripe as our third-party payment processor. The processing of payments is subject to the terms, conditions, and privacy policies of Stripe in addition to these Terms. Healthcare Strong is not responsible or liable for errors by the Payment Processor.

By choosing to purchase a Subscription or program, you agree to pay all charges at the prices then in effect and to provide all requested information needed to process payment. You must provide current, complete, and accurate billing data. Changes to billing data can be made in your account settings.

3.7 Eligible Payment Methods

If all eligible payment methods HCS has on file for you are declined for payment, you must provide a new eligible payment method promptly or your Subscription will be canceled. You authorize us to collect any applicable fees using any eligible Payment Method we have linked to your Billing Account.

3.8 Automatic Recurring Billing

By purchasing a Subscription, you agree that upon expiration of the initial Subscription term, your Subscription will automatically renew for successive periods of the same duration unless and until you cancel. You authorize Healthcare Strong to charge your account using a Payment Method on file.

3.9 Subscription Cancellation

You may cancel your Subscription at any time by following the directions provided in the Healthcare Strong Platform or by contacting us at contact@healthxstrong.com. You must cancel at least three (3) business days in advance of your billing date to avoid being charged for the next period. Your plan will remain active until your next billing date, but you will not be eligible for a prorated refund unless required under applicable law.

3.10 Pausing Your Subscription

Healthcare Strong permits you to put your Subscription on hold (a "Pause"). If you wish to Pause your Subscription, contact HCS at contact@healthxstrong.com. You will not be charged for the time during which your Subscription is Paused. After the Pause period, automatic Subscription renewals will resume. You may reactivate your Subscription during a Pause at any time.

3.11 Payment Plans

Where payment plans are offered, all installments must be completed in full regardless of program participation or completion. Failure to complete payment plan installments may result in loss of access to program materials and community.

4. Intellectual Property, Services, Licenses, and User Created Content

All content provided through Healthcare Strong programs and platforms — including modules, videos, templates, toolkits, written materials, and resources — is the intellectual property of Healthcare Strong, LLC. All patents, trademarks, logos, copyrights, and other intellectual property rights applicable to the Healthcare Strong Platform are the exclusive property of HCS, its licensors, and other providers of such material.

Healthcare Strong hereby grants you a personal, limited, revocable, non-transferable license to access and use the Services solely for your personal, non-commercial use. This license terminates upon the expiration or cancellation of your program enrollment or membership. Healthcare Strong reserves all rights not expressly granted to you.

4.1 Content Restrictions and User Submissions

You retain ownership of any content you submit to our platforms, including photos, reviews, or community posts ("User Submissions"). By submitting content you grant Healthcare Strong an unrestricted license to use that content as necessary to operate and improve our Services.

You represent and warrant that you own any User Submissions you upload, or otherwise have the right to grant the license set forth herein, and that your User Submissions do not violate any applicable law or third-party rights.

You agree not to contribute any content or otherwise use the Services in a manner that: infringes intellectual property rights; violates any law or regulation; is abusive, fraudulent, defamatory, obscene, hateful, or otherwise objectionable; jeopardizes the security of any account; or involves data mining, scraping, or automated data collection methods.

4.2 Non-Solicitation

You agree not to use our Services to recruit, solicit, or contact Healthcare Strong staff, coaches, Third-Party Providers, or community members for employment or business opportunities unaffiliated with Healthcare Strong without prior written permission. Violations may result in suspension or permanent termination of your account.

5. Third-Party Services and Content

Our Services may integrate with or link to third-party platforms including Stripe, Circle, and Mailchimp. By using the Healthcare Strong Platform, you may also view content provided by third parties. Unless expressly stated otherwise, HCS does not control, endorse, or adopt any Third-Party Content and has no responsibility for third-party content including material that may be misleading, incomplete, erroneous, offensive, or otherwise objectionable.

Your use of third-party services is subject to their own terms and privacy policies. HCS is not responsible for any loss or damage incurred as a result of your use of third-party services or content.

6. Health and Safety Warnings, Disclaimers, and Warranties

Healthcare Strong does not provide healthcare, medical services, or clinical advice. All content provided through our Services — including fitness plans, nutrition guidance, wellness information, and business coaching — is for educational and informational purposes only and does not constitute medical, clinical, legal, or financial advice.

Healthcare Strong makes no guarantees regarding health outcomes, business results, or income. Results shared by clients are not typical and depend on individual effort, commitment, and circumstances. Your results will vary.

You should consult your physician prior to engaging in any fitness plan, nutrition regimen, or wellness program. Healthcare Strong is not intended to be used as a substitute for mental healthcare. If you feel that you may be experiencing a mental health crisis, seek immediate care from a licensed healthcare professional.

By using our Services, you acknowledge that you may receive information on physical activities or wellness advice which may be potentially demanding based on your personal condition. You agree to assume all risks associated with using such Services.

If you are pregnant or have recently given birth, you should consult your physician before utilizing any Services provided by or via the Healthcare Strong Platform. You should not under any circumstances utilize the Healthcare Strong Platform while operating a vehicle or any other form of machinery that requires your full attention.

6.1 Warranty Disclaimer

To the maximum extent permitted under applicable laws, the Healthcare Strong Platform and any product, service, or other item provided by or on behalf of HCS are provided on an "as is" and "as available" basis. HCS expressly disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. HCS does not represent or warrant that the Platform is accurate, complete, reliable, current, or error-free, or free of viruses or other harmful components.

6.2 Third-Party Disputes

Healthcare Strong is not a provider of medical services and does not assess the suitability, compliance, or quality of any facility, class, or session provided by any Third-Party Provider. You expressly waive and release HCS from any and all liability, claims, or damages arising from, or in any way related to, your use of Healthcare Strong Services and the services provided by any Third-Party Provider. You acknowledge that there are inherent risks and dangers in exercise and wellness activities and that you specifically assume the risk of injury or harm.

6.3 Limitation of Liability

To the maximum extent permitted by applicable laws, you agree to indemnify and hold harmless HCS and its associated parties from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost, or expense including reasonable attorneys’ fees, arising out of or in connection with: your use of or conduct in connection with the Healthcare Strong Platform; your breach of these Terms; the User Created Content you provide; or your violation of any applicable laws or rights of any other person or entity.

7. Miscellaneous

7.1 Indemnity

You agree to indemnify and hold harmless Healthcare Strong, its affiliates, officers, agents, and employees, from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from or in any way related to: (a) your use of the Services, and (b) your violation of these Terms.

7.2 Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder without Healthcare Strong’s prior written consent. We may transfer, assign, or delegate these Terms and any of our rights and obligations without your consent, provided that you may rescind the assignment if you object to the transfer unless the assignment is due to a merger or acquisition of Healthcare Strong.

7.3 Survival

Provisions that by their nature should survive termination of these Terms shall survive termination. This includes any obligation to pay or indemnify us, any limitations on our liability, any terms regarding ownership of intellectual property rights, and any terms regarding disputes between us, including the Arbitration Agreement.

7.4 Severability

If any term, clause, or provision of these Terms is held invalid or unenforceable, then that term, clause, or provision will be severable from these Terms and will not affect the validity or enforceability of any remaining part of these Terms.

7.5 Force Majeure

Neither Healthcare Strong nor you shall be liable for any failure or delay in performance under these Terms for causes beyond the party’s reasonable control and not caused by that party’s fault or negligence, including but not limited to acts of God, acts of government, pandemic, flood, fire, civil unrest, acts of terror, strikes, or computer attacks.

7.6 Choice of Law

If you reside in the United States, you agree that the law of the State of California, without regard to principles of conflict of laws, will govern any legal proceedings or dispute resolution process involving these Terms.

If you reside outside of the United States, the laws and courts of your country of residence will apply to any disputes arising out of or relating to these Terms or Healthcare Strong’s Services.

8. ARBITRATION AGREEMENT (UNITED STATES USERS)

Please read the following ARBITRATION AGREEMENT carefully. This Arbitration Agreement requires that you limit the manner in which you can seek relief in matters relating to these Terms and Conditions and Healthcare Strong to arbitration. Both you and Healthcare Strong acknowledge and agree that for the purpose of any dispute arising out of or relating to the subject matter of these Terms, Healthcare Strong’s officers, directors, employees, and independent contractors are third-party beneficiaries of these Terms.

a) Arbitration Rules; Applicability of Arbitration Agreement

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in Orange County, California. The arbitration will proceed in the English language, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. Notwithstanding the foregoing, each party shall have the right to pursue injunctive or other equitable relief at any time from any court of competent jurisdiction.

b) Waiver of Class or Consolidated Actions

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor we are entitled to arbitration; instead all claims and disputes will be resolved in a court as set forth below.

c) Opt-out

You have the right to opt out of the provisions of this Section by sending written notice of your decision to opt out to contact@healthxstrong.com postmarked within 30 days of first accepting these Terms. You must include: (i) your name and residence address; (ii) the email address and/or telephone number associated with your account; and (iii) a clear statement that you want to opt out of these Terms’ arbitration agreement.

d) Exclusive Venue

If you send the opt-out notice, and/or in any circumstances where the arbitration agreement permits either party to litigate any dispute in court, both you and Healthcare Strong agree that any judicial proceeding will be brought in the state or federal courts located in Orange County, California, and both parties consent to personal jurisdiction in those courts.
